The proposed extension was verbally agreed to in a meeting between Dick Asleson of Apple Valley and representatives of Apple Valley. The status of the negotiations between Divine Redeemer and the 12 Dakota County cities has been summarized in a letter from Mr. Asleson to Divine Redeemer, which was copied to you under separate cover. I would recommend that the City Council approve the extension as presented. Mr. Asleson has indicated that he would attend the July 16, 1984 Council meeting to further discuss the matter if requested. Larr hompson City Administrator LT/mh cc: file - Ambulance Service Contract x AMBULANCE SERVICE AGREEMENT This AGREEMENT, made and entered into effective the first day of October, 1984, by and between the Cities of Farmington, Lakeville, and Apple Valley, hereinafter referred to as "Cities" and Divine Redeemer Memorial Hospital, hereinafter referred to as "Hospital". WHEREAS, the Hospital and the Cities together with the city of Burnsville are parties to an Ambulance Service Agreement having an effective date of January 1, 1950, and a termination date of September 30, 1984, said Agreement being incorporated herein by reference, and WHEREAS, the City of Burnsville has advised that effective October 1, 1984, it no longer requires the services of the Hospital pursuant to the Agreement, and WHEREAS, the Hospital has offered to the Cities to extend the 1980 Ambul— ance Service Agreement through December -31, 1984, under its same terms and con ditions, except it does not propose service to the City of Burnsville and it proposes to furnish to the Cities one (1) fully equipped and staffed paramedic ambulance to be located at Apple Valley Fire Station No. 1. MOW, THEREFORE, in consideration of mutual covenants, agreements and mat— ters set forth herein, the parties hereto agree as follows: 1. Except as modified by this Agreement, all provisions of the Ambulance Service Agreement involving the parties hereto shall remain in full force and effect through December 31, 1984. 2. The Hospital shall not provide ambulance service within the City of Burnsville, except to respond to requests from the City of Burnsville for "Mutual Aid". 3. The Hospital, for providing ambulance service to the Cities, shall furnish and fully staff one (1) paramedic ambulance and station the ambulance at Apple Valley Fire Station No. 1. This ambulance shall hereinafter be referred to as the South Ambulance. 4. The Hospital may use the South Ambulance to respond to emergency calls in Dakota County and, in the event that the South Ambulance is not available for response for any reason, the Hospital shall respond to calls in the Cities with any other ambulance under its control , to the maximum extent possible at the time of the call. That in consideration o t1'!: service provided by the Hospital, the Cities agree to pay the Hospital the sum of $.4375 per capita for the three (3) month period ($1.95 per capita annual rate). The revised plan is similar in design to the original plan, but scaled down to 8,400 square feet. The estimated construction cost of the building would be approxi- mately $408,000. The estimate also includes $38,000 of alternates which would be deleted from the bids and completed at a future date if the bids would come in higher than expected. These items include such things as painting, kitchen cabi- netry, landscaping and finishing costs. The City can inform the County Auditor that a referendum will be held this November and if given the authority plan to levy for the bonds during 1984. If the County Auditor agrees to this,- the City would begin collecting the levy on the bonds during 1985 and would only incur a half year of capitalized interest cost (approxi- mately $24,000) . • The revised plans are available at the Clerk's office if you wish to review them. Tom Dunwell will be present at the meeting Monday night to discuss this matter. R40-84 APPROVING AN ASSIGNMENT AND ACCEPTANCE AGREEMENT FOR LEASE NO. 83126 Pursuant to due call and notice thereof, a regular meeting of the City Council of the City of Farmington, Minnesota, was held in the Civic Center of said City on the 2nd day of July, 1984 at 7:00 P.M. The following members were present: Cook, Kelly, Orr, Sprute. The following members were absent: Akin. Member Sprute introduced and Member Kelly seconded the following resolution: WHEREAS, there presently exists a lease No. 83126 (the Lease) between Farm Service Coop and the Chicago, Milwaukee, St. Paul and Pacific Railroad Company (the Railroad) for a parcel of land located along Second Street between Elm and Oak Streets; and WHEREAS, the City of Farmington wishes to lease the property for the purpose of estab- lishing a public parking lot; and WHEREAS, Farm Service Coop has executed an Assignment and Acceptance Agreement of the Lease to the City of Farmington; and WHEREAS, the City Council, has offered a .proposal to the Railroad to enter into a lease agreement for $200 per year commencing with the current year; and WHEREAS, the Railroad has indicated that the proposal will not be considered until the City approves the attached assignment and acceptance agreement. NOW THEREFORE, BE IT RESOLVED BY THE CITY OF FARMINGTON that the attached agreement entitled "Lease No. 83126 Assignment and Acceptance" is hereby approved, and the Mayor and City Clerk are hereby directed to execute said agreement, at a transfer cost of $200. BE IT FURTHER RESOLVED that the City of Farmington offers to enter into a similar lease agreement upon expiration of the existing agreement at a price of $200 per year. I concur with Mr. Henneke's recommendation that the City go along with the railroad's second proposal . As you may recall , the City Council did offer a proposal for $200 per year commencing with the current year. The railroad has indicated that the City must approve the attached assignment and acceptance agreement before they will consider the offer. Therefore, I would recommend that the Council adopt the attached resolution approving the Assignment and Acceptance Agreement. Lar hompson City Administrator LT/mh cc: file MEMO TO: LARRY THOMPSON, CITY ADMINISTRATOR SUBJECT: RAILROAD LEASE DATE : JUNE 18, 1984 Philip Erickson, Attorney representing Farm Service, stated that Farm Service quoted a $500 lease assignment purchase price to pay their two year delinquency on the lease. It is their belief that the Railroad will not convey the lease to the City until the delinquency is paid. If the railroad will convey the lease without payment of the delinquent lease payment, Farm Service will not require any payment. Mr. R.R. Bruns, manager of leases for the railroad, at first stated payment of the $400 delinquency is needed before the lease can be conveyed to the City. I told him that Farm Service informed the City they had no intention of paying the delinquency. Mr. Bruns stated he could probably convince his boardto agree to one of the following two proposals: 1) The City pay the $400 delinquency and the lease be conveyed dated the day of payment. 2) The lease be conveyed to the City in the amount of $200/year commencing 12/1/83. Mr. Bruns stated if the City goes with the second proposal the $400 would be turned over to collections to be collected from Farm Service. It is my recommendation to enter into a lease with the railroad in the amount of $200/year commencing 12/1/83. I considered the following facts in making this recommendation: 1) It is more economically feasible - 2) Farm Service has already signed the Assignment and Acceptance of the lease without a buy out amount stated. 3) It is not the City's responsibility to pay a debt not incurred by the City. )1.yx.f i2_ Wayne E.
