SUBJECT: RAILROAD LEASE
DATE: AUGUST 2, 1984
Enclosed please find a copy of a lease extension for the
railroad property adjacent to Second Street. The assign-
ment and acceptance of the lease has already been executed
by all parties.
As you will note, the terms of the lease are the same as
proposed by the City Council (3 years at $200/year). This
item has been placed on the consent agenda for approval .

Dear Mr. Thompson:
Enclosed are two fully executed copies of the Assignment and Acceptance
transferring Lease 83126 at Farmington, Minnesota from Farm Service Coop to
the City of Farmington. The Assignment has been made effective July 2, 1984.
Please handle for delivery of one copy of the Assignment to Farm Service Coop
and obtain the lessee's copy of the lease from them if you have not yet done
so.
My records indicate that the rental on this lease in the amount of $200 for
the period December 1, 1983 to December 1, 1984 remains outstanding and will
you please forward your remittance in this amount direct to me at the above
address for proper crediting to your account.
This lease will expire under its own terms on November 30, 1984 and therefore,
enclosed are duplicate copies of an Agreement extending this lease for a term
of three years from December 1, 1984, subject to termination by either party
upon 60 days written notice within the term, at a rental of $200 per annum.
Please handle for execution of the Extension Agreement by the City of
Farmington returning both copies to me for execution on behalf of the
Milwaukee Road.

ASSIGNMENT AND ACCEPTANCE
FOR VALUE RECEIVED FARM SERVICE COOP, hereinafter called
"Assignor," does hereby sell, transfer and assign to CITY OF FARMINGTON
of Farmington, Minnesota, hereinafter called "Assignee", all Assignor's
right, title and interest in and to that certain Lease No. 83126,
bearing date November 13, 1979, whereby CHICAGO, MILWAUKEE, ST. PAUL AND
PACIFIC RAILROAD COMPANY, or its predecessors, leased, demised and let
unto the Assignor a portion of its property at Farmington, Minnesota as
more particularly described in said lease, the said Assignee and
Assignor hereby acknowledge that they have prorated rental and tax
payments due under the provisions of said lease as of the effective date
of this assignment and Assignee hereby agrees to pay all taxes and
assessments accruing during the tax year in which this assignment takes
place and subsequent years and the said Assignee hereby covenanting and
agreeing to be bound by all conditions and to perform all covenants and
agreements therein contained. This assignment is made subject to the
written consent of the Chicago, Milwaukee, St. Paul and Pacific Railroad
Company thereto.
The effective date of this assignment and acceptance is July 2, 1984

CONSENT TO ASSIGNMENT
RICHARD B. OGILVIE, as Trustee of the property of the CHICAGO,
MILWAUKEE, ST. PAUL AND PACIFIC RAILROAD COMPANY, Debtor, hereby
consents to the assignment of the foregoing lease to MAIN STREET
ELEVATOR, INC. upon the express condition that every covenant, agreement
and condition in said lease contained shall be promptly kept and
• performed, and that no further assignment of said lease or sub-letting
of said premises, or any part thereof, shall be made without its written
