INTRODUCTION/DISCUSSION
On Mond ay, Septemb er 21st, the C ity Counc il appointed a Tas k Forc e to o vers ee the c reatio n of the
Downto wn Redevelo p ment P lan. Belo w is an update on the p ro cess and the T as k Forc e appointments.
Earlier this year C ity Co unc il autho rized an ap p lication for a Dako ta C o unty Community Develo p ment
Agenc y (CDA) Red evelopment Incentive Grant (RIG) for Do wnto wn red evelopment planning. The City
was s uc cessful and was awarded the maximum grant amount of $15,000.
A Req uest for Pro p o s als (R FP ) was issued at the end of June, and on Augus t 17 th City Counc il ap p ro ved a
contrac t with Hoisingto n Ko egler Group , Inc . (HKGi) to s erve as the p ro jec t cons ultant. Jeff Miller with
HKGi will serve as the p ro ject lead.
HKGi’s proposal was s elec ted as the bes t fit fo r this projec t, and o ffers a unique s olution b y p artnering with
two other firms c ontributing spec ialized exp erienc e and kno wledge. HKGi offered a p ro p o s al that p artners
with Maxfield R es earch to provid e market analysis and feas ibility res earch, and No rthland Sec urities to
p ro vide imp lementatio n tools and financial analys is .
By undertaking the develo p ment o f a Do wntown Red evelopment Plan, a unified vision will be es tab lis hed for
Downto wn Farmingto n. This proc es s will help City Counc il, EDA, and o ther ad visory c ommis s ions identify
o p p o rtunities in the Do wntown area fo r redevelo p ment. Becaus e redevelo p ment efforts c an often take many
years, it is imp o rtant to have a unified vision for the area s o that s taff c an id entify funding s o urc es for
s p ecific projec ts or o p p o rtunities as they b ec o me availab le.
The following ind ividuals have b een app o inted to serve o n the Downto wn Redevelopment P lan Tas k Forc e.
They represent a wide variety o f viewpoints and interes ts in the Downto wn area of Farmingto n.

INTRODUCTION/DISCUSSION
As we continue to exp lo re opportunities fo r the EDA’s fund balance, one id ea we have d is cus s ed is
es tablishing a revo lving lo an fund (RLF). A revolving loan fund is a tool that c an b e us ed to fac ilitate
b usines s expans io ns , reloc ations , o r startups . As lo ans are repaid, the fund is rec ap italized fo r new b usines s
lo ans within the c o mmunity.
Lee Hall and Laurie Crow from the Metro p olitan Cons o rtium of Community Developers (MCCD), who we
p artner with fo r the Op en to Busines s Pro gram, p res ented some id eas to the EDA at the July meeting. The
EDA req uested a s ample o f what an agreement might lo o k like o utlining a lo an p ro gram p artners hip. MCCD
has p ro vided us with a d o cument to c o ntinue this dis c ussion and it is attached fo r yo ur review.
This d is cus s ion s erves as a prec ursor to the EDA creating a new Strategic Plan for Ec o nomic Development
to cover 2016-2018. The S trategic Plan will be d eveloped this fall and s eek C ity C o uncil ap p ro val b y the
end o f the year.

This Memorandum of Understanding (MOU) sets forth the terms and understanding between the
City of EXAMPLE (City) and the Metropolitan Consortium of Community Developer’s Open to
Business program (MCCD) to govern participation in lending to entrepreneurs and small
businesses located within, or establishing a place of business in, the City of EXAMPLE.
Background
The City of EXAMPLE currently o ffers 2 loan funds; one for commercial rehab, and one for
larger economic development projects such as land acquisition, building acquisition or the
purchase of equipment. The City has funds set aside dedicated to these programs, but its use has
been limited, and the City is seeking to increase participation in the program and deployment of
those funds.
MCCD, in partnership with the SAMPLE County CDA, currently offers a program entitled Open
to Business to all residents of and businesses located within SAMPLE County. The Open to
Business program provides free, one-on-one technical assistance to potential and existing
entrepreneurs, and makes loan capital available to those same entrepreneurs in the form of direct
loans, and participation in larger financing packages.
Purpose
This MOU will detail the terms under which the City may participate by offering its own loan
capital as a part of a financing package made thru Open to Business to an existing- or – a
proposed newly-established business located within the City of EXAMPLE.

The above goals will be accomplished by undertaking the following activities:
Under the terms of the Service Contract between the SAMPLE CDA and MCCD, Open to
Business will make its business assistance and access to capital available to all residents of and
businesses located within the County, so long as that Service Contract remains in force. If, thru
the normal course of these activities- or by referral fro m City staff- MCCD receives an
application for Business Financing it deems legitimate from an entrepreneur operating or
intending to locate in the City of EXAMPLE, MCCD agrees to offer the City the opportunity to
fund a portion of that loan using the City’s loan capital.
To facilitate the application process, MCCD will gather all necessary documentation, and
undertake normal underwriting procedures including drafting a loan report detailing the request,
the use of funds, and analyzing the strengths and weaknesses of the proposal. Further, MCCD
will present that proposal to its external review committee- consisting of a mix of community
members, entrepreneurs and financing professionals- for review and approval of MCCD’s
proposed financing.
MCCD will share the application materials and its analysis with the X EDC who will review the
information and make a recommendation to approve or deny the loan application. The EDC will
then forward the recommendation on to the EDA for final approval.
The level of City participation shall be determined by the EXAMPLE City Council in its sole
discretion on a case-by-case basis. As the primary underwriter and contact with the borrower, it
is important that the City have confidence that MCCD is acting in the best interest of all parties
to the financing. Therefore; MCCD will limit City participation to the lessor of the City’s
funding cap or MCCD’s own participation in the total financing.
MCCD shall propose rates, fees, and terms for each proposed loan. The City may choose to
accept the terms as proposed on a case by case basis, or may in its sole discretion draft its own
guidelines for terms and criteria that MCCD may present as part of the loan package to potential
borrowers.
If the EXAMPLE City Council approves the loan, MCCD will originate loan documents-
including promissory note, security agreement, and participation agreement- and close on behalf
of all parties. If financing is a part of a larger loan package involving a commercial bank or other
lender, MCCD will manage the City’s interest and documentation as a part of that larger
agreement.
Unless party to a larger financing package managed by a commercial lender; MCCD will
manage loan servicing on behalf of the City. This includes tracking of principal and interest,
generation of payment notifications, regular application of payments, and submission to the City-
no less than quarterly- the City’s portion of Interest and Principal collected, and detailing of its
assignment to the borrower’s loan.

In the event of Borrower default; the City acknowledges that its funds are lent with recourse to
the individual borrower, and at risk of loss. MCCD assumes no responsibility for repayment of
those funds beyond the scope of a loan servicer. MCCD will make all reasonable efforts to
pursue collection of unpaid funds on behalf of the City; including, but not limited to repossession
and liquidation of any collateral, and enforcement of any personal guarantee. MCCD will also
share any recoveries on a pro-rated basis and as detailed in the loan participation agreement.
Reporting
As the loan servicer, MCCD will maintain detailed accounting of all funds serviced on behalf of
the City- including principal and interest collected, balances owed, payment history, and any
City funds held in advance of loan disbursement or collected from borrowers and held for return
to the City.
At least quarterly, MCCD will submit all principal and interest collected on behalf of the City
and a detail of the assignment of those funds to individual borrowers as principal and interest.
Funding
MCCD will perform the above services as an extension of its Service Contract with the
SAMPLE County CDA for Open to Business, including ongoing servicing, at no cost to the City.
MCCD reserves the right to charge borrowers an origination fee on the total combined loan
balance as part of the lending process, and to retain 100% of that fee, as well as any other closing
costs.
MCCD will request an advance of loan capital only after approval by both parties, and prior to
closing for disbursement to the borrower City loan funds shall be provided directly to the
borrower as part of the loan closing. The City shall retain possession its un-lent loan funds, and
MCCD will remit to the City all principal and interest collected on the City’s behalf on a
quarterly basis.
Duration
This MOU is at-will, and may be modified by either party and may be modified by mutual
consent of the parties to this agreement. This MOU shall become effective upon signature by the
authorized officials from the City and MCCD, and will remain in effect until modified or
terminated by either partner.
MCCD has agreed to provide these services, at no cost to the City, as an extension of the
SAMPLE County Open to Business Service Contract. In the event the Open to Business /
EXAMPLE Partnership is terminated, or the SAMPLE County Open to Business Service
Contract is voided, or failed to be renewed, MCCD will suspend initiation of new loan
participations. However; MCCD will continue to service all existing loan participations to their
conclusion as detailed in that note’s loan participation agreement. The City may, however,
assume responsibility for loan serving, in which event MCCD shall cooperate with the City in

the transfer of loan servicing, and shall provide all data and files needed by the City to service
the loan(s).
Further; the City acknowledges that funds committed to loan participation are governed by the
terms of the individual participation agreement for each loan, and will remain committed for the
duration of that note. In the event this larger agreement is severed, MCCD shall be under no
obligation to buy back these participations, or refinance the debt to free City encumbrance.

Strategic p lanning is an important c o mp o nent of econo mic d evelopment. A three-year strategic p lan is a
valuab le to o l fo r both elected and appointed offic ials , as well as s taff to p rovid e wo rk d irectio n and
p rio ritizatio n of new initiatives.
Octo b er will mark the beginning of o ur work o n the EDA’s 2016-2018 Strategic Plan for Ec o nomic
Develo p ment. T his tool will s erve as the guiding d o cument for the EDA’s wo rk o ver the next three years.
Dr. Craig Waldron has agreed to assist us with d eveloping o ur 2016-2018 Strategic Plan for Ec o nomic
Develo p ment. We are p lanning to c o nduct the bulk o f the work on Oc tober 26th (yo ur normal EDA meeting
d ate), but s inc e this will be a longer working s es s io n/retreat I would like to req ues t that we start a few ho urs
earlier than we would typic ally cond uc t o ur meeting. I have heard from a few o f yo u that 5:00 p .m. wo uld be
workab le. I wo uld like to fo rmalize a s tart time with the EDA at our meeting o n Mo nday.
Prior to the O c to b er wo rk s es s io n, I will work with Dr. Waldron to provide b ac kground informatio n and
o ther sup p o rting doc umentatio n. Watc h for a reques t fo r yo ur individ ual thoughts and goals that we can
inc o rp o rate into the wo rk s es s io n in the c o ming weeks .

Building Permit Report
As o f Sep temb er 18th, a to tal o f 44 p ermits have b een is s ued fo r new res idential cons tructio n. All 44 have
b een fo r single-family d wellings. The City’s lo t invento ry is at 165 lots . During 2014, the City is s ued a total
o f 87 s ingle-family build ing permits .
2040 Comp Plan Update
2016 and 2017 will be a very active time fo r Community Develo p ment staff as we begin work on
Farmingto n’s 2040 C o mp rehens ive Plan. Land us e and ec o nomic develo pment are key components of this
p lan, whic h s erves as an o verall vision for the future o f the community. As yo u may b e aware, s taff and
Planning Commis s io n have been ac tive in rec ommend ing up d ates to city ordinanc es to make F armington
mo re attrac tive fo r new and emerging typ es o f bus ines ses. Some o f these rec ent up d ates inc lude language
affecting data c enters , c o mmunity solar gard ens , breweries , b rewpub s , tapro o ms , d is tilleries, and c o cktail
lo unges.
As we continue to look for ways to be p ro ac tive in attrac ting d evelopment to F armington, I wo uld like to
recommend the EDA and P lanning Co mmis s ion s c hedule a jo int meeting in early 2016. This meeting c an
facilitate d is cus s ion between the two gro ups about how land us e and ec o no mic d evelopment can c o llab orate
to p ro mo te a s trong p ro -b usines s c o mmunity. Watc h fo r additio nal d etails over the next s everal mo nths.
City Bond Rating Upgrade
Per Financ e Direc tor Robin Hanson – Stand ard & P o o r's Ratings Services rates the city's d eb t. This pas t
week, in conjunc tion with the p lanned issuanc e o f the 2015A b o nds fo r the 195th s treet recons tructio n
p ro ject, Stand ard and P o o r's reviewed the c ity's econo my, management, and financial meas ures. They
conclud ed their review b y upgrad ing the city's debt rating from AA- to AA. The rating up grade recognizes
the c o llective wo rk o ver the past five years o f s taff, city counc il and Ehlers (the c ity's financial ad visor); it is
not the work o f any o ne p ers o n. It is a very imp o rtant miles tone for the c ity. C o ngratulations to all!

IEDC Entrepreneurship and Small Business Development Training Course
On September 10th and 11th I participated in the International Econo mic Development Counc il’s (IEDC)
training c o urs e on Entrep reneurs hip and Small Bus ines s Develo p ment in Minneap o lis . This c o urse p ro vid ed
informatio n and examp les from across the c ountry ab o ut ways we can develop and enc o urage small
b usines s growth in our c o mmunity. 20 d ifferent s tates from across the c ountry were rep res ented at this
training.
Minnesota Manufacturer’s Recognition
The State o f Minnes o ta has d eclared Octo ber 1-10 as Minnesota Manufac turing Week. Attac hed is an
exc erp t fro m the Dep artment o f Emp lo yment and Econo mic Develo p ment’s (DEED’s ) web s ite highlighting
the importanc e o f manufac turing in Minnesota. I will be b ringing a p ro clamation to City Co uncil’s Oc tober
5th meeting to rec ognize o ur lo cal manufacturing ec o nomy.
EDA Structure
City Counc il p ro vided d irectio n to City Adminis trator McKnight at their Sep tember 14th Wo rk Session to
p ro ceed with c o nducting the p ro p er no tic es and req uirements nec es s ary to inc reas e the size o f the EDA
fro m five to s even. Minnesota S tate Statute regulates the makeup o f EDA's in the s tate. Statute allo ws for
EDA's to b e mad e up of either three, five or s even memb ers . We currently have a five member EDA that
inc ludes two c ity c ounc il representatives.
The City Counc il has indic ated that the two new memb ers to be ap p o inted will b e from the IS D 192 Sc ho o l
Bo ard . When the p ro cess is c o mp leted, it is antic ip ated the new memb ers will jo in the EDA in F eb ruary at
the same time other commission and advis ory board ap p o intments are made.

Our next meeting will be a spec ial meeting fo r S trategic P lanning. It is tentatively s ched uled fo r Mond ay,
