Monday, August 21, 2023
The Farmington Economic Development Authority met in regular session on Monday,
August 21, 2023, at Farmington City Hall, 430 3rd Street, Farmington, Minnesota.
1. CALL TO ORDER
Chair Wilson called the meeting to order at 5:30 p.m.
2. PLEDGE OF ALLEGIANCE
Chair Wilson lead everyone in the Pledge of Allegiance.

8. DISCUSSION ITEMS
8.1 Approval of Micro Grant for The Pam McCarthy Agency Inc. – R08-23
The Pam McCarthy Agency Inc., located at 402 3rd Street, applied for $2,500.00
in matching grant funding from the EDA Micro Grant Program to execute a robust
direct mail marketing campaign.
Data points provided by The Pam McCarthy Agency show the potential impact
that the marketing campaign could have to spur business, increase awareness
of the agency’s offerings, and improve closing rates. Staff have reviewed the
marketing plan and the data point explanation and see the benefit that the
marketing campaign could have for this business. This request meets the
eligibility parameters for receiving the EDA Micro Grant funding.
Motion was made by Commissioner Bernatz and seconded by Commissioner
Lien to adopt EDA Resolution No. R08-23 Approving Micro Grant Funding to The
Pam McCarthy Agency Inc. for Certain Business Improvements.
Motion carried: 3 ayes / 0 nays / 1 abstain – Commissioner Hoyt abstained.
8.2 Understanding Tools and Available Land for Economic Development
Understanding available land and properties is crucial to economic development.
Equally as important to economic development is Staff’s understanding of the
tools available to present land to potential developers.
Director Kuennen and Coordinator Aman demonstrated some of the methods
used to determine available property and land inventory, along with various tools
that are available to help Staff understand and present those properties to clients.
The GIS map created by GIS Specialist Dani Olson provides Staff with many
layers of information on any specific property. When printed, these maps will be
branded with the Farmington logo. Having GIS capabilities in-house is important
and beneficial. Staff listen and respond to each request, and the additional tools
on this site give us the ability to apply specific details to individual property maps.
The software, data, and the talent of City Staff will allow us to create tools that
give us accurate and thorough information. We are building an available land
database that elevates our capacity to site selectors. This tool is a starting point
and a good statewide tool. The Economic Development team works closely with
other departments to ensure Farmington is providing each project with a
sophisticated and customized response.

Due to lack of time, Chair Wilson asked Staff to incorporate any other items and
share this again at a future meeting.

The July 2023 summary, focusing on projects, prospects, business visits,
meetings, and other activities and initiatives was provided in the Director’s Report
in the packet for this evening. Staff answered questions from Commissioners.

INTRODUCTION:
At the March 20, 2023, meeting, the Farmington EDA approved and directed staff to create a new
Micro Grant Program for Farmington businesses. Staff worked with legal, created the appropriate
documents including guidelines, application, and agreements and opened applications on June 1,
2023, as planned.
DISCUSSION:
Grant Heating and Air, LLC, located at 509 First Street, has applied for $2,500.00 in matching grant
funding from the EDA Micro Grant Program. to assist in creating awareness of their business. Grant
funds would be used to update curb appeal items includin g painting of the building and construction
and installation of signage, including door wraps. Grant Heating and Air, LLC recently purchased their
building and are working to beautify the site and ensure that residents and others know where they
are located and what they do. This cleanup with signage will help attract customers by creating a
welcoming environment for clients.
The business has provided estimates for signage and painting that total $5,044.94 and this request
meets the eligibility parameters for receiving the EDA Micro Grant funding.

RESOLUTION NO. R09-23
A RESOLUTION APPROVING MICRO GRANT FUNDING TO
GRANT HEATING AND AIR LLC FOR CERTAIN BUSINESS IMPROVEMENTS.
WHEREAS, the City of Farmington Economic Development Authority and City Council
has identified business growth as a priority pillar; and
WHEREAS, the City of Farmington Economic Development Authority has created a new
Micro Grant program, allocating twenty-five thousand dollars ($25,000.00) of their budget, to
support projects that enhance and expand small businesses; and
WHEREAS, the Farmington EDA has agreed to award grant funds up to half of the
estimated costs for eligible projects to businesses, not to exceed two thousand five hundred and no
dollars ($2,500.00).
WHEREAS, on September 1, 2023, Megan Grant of Grant Heating and Air, LLC, applied
for a $2,500.00 Micro Grant through the Farmington Economic Development Authority Micro
Grant program; and
WHEREAS, the Grantee has presented eligible estimates or bids for curb appeal updates
including painting and signage that total $5,044.94.
WHEREAS, the Grantee agrees to obtain all required and necessary permits to perform
the work for which the Micro Grant funds were requested; and
NOW, THEREFORE, BE IT RESOLVED:
1. The Farmington EDA hereby approves the attached Micro Grant Agreement attached
hereto as Exhibit A.
2. Upon execution of the Micro Grant Agreement, the Farmington EDA staff may distribute
to Megan Grant of Grant Heating and Air, LLC a Micro Grant in the amount of $2,500.00.
3. The President and Executive Director are authorized and directed to execute all documents
and take all appropriate measures to distribute the Micro Grant pursuant to the Agreement.
Adopted by the Farmington Economic Development Authority of the City of Farmington,
Minnesota, this 18th day of September, 2023.

Micro Grant Program
Grant Agreement This Micro Grant Agreement ( “Agreement”) is made and entered into this 18th day of September, 2023 by and between Megan Grant, Grant Heating and Air, LLC, at 509 First St, Farmington, Minnesota ( “Grantee”) and the City of Farmington Economic Development Authority (EDA), a public body corporate and politic, having its principal offices at 430 Third Street, Farmington, Minnesota ( “Grantor”). WHEREAS, the Grantee acknowledges that the source of funding for this Agreement are City of Farmington funds provided and approved for disbursement by the EDA as grants in accordance with the EDA’s powers under Minn. Stat. ch. 469 and the Authority’s authorization of this Micro Grant Program. WHEREAS, the Grantor has established a Micro Grant Program ( “Program”) to support small businesses, enhance the footprint of Farmington businesses and meet businesses where they are at, within the municipal boundaries of the City of Farmington; and WHEREAS, the Grantee has applied for Micro Grant Program funds signage, painting, brand building and awareness, and curb appeal to attract more business for the newly purchased property for Grant Heating and Air, LLC (“Project”) for their business located at 509 First St, with the tax pin 14.77000.06.041 ( “Property”); and WHEREAS, the Grantor has reviewed the Grantee’s application and determined that the proposed project meets the requirements of the Program; and WHEREAS, the Grantee desires to participate in the Program, on the terms and conditions set forth below. NOW, THEREFORE, in consideration of the agreements hereinafter contained, the parties agree as follows: A – Project: 1. The Grantee agrees and acknowledges that the approved Project which was outlined in the Grantee’s original application is described as follows: a. Purchase and install signage and wrap as described in estimate to promote brand awareness to increase business. b. Paint building and perform cleanup of the area to increase curb appeal. c. Estimated Project Costs: $5,044.94 2. If the Grantee wishes to revise the Project receiving grant funding through the Program, the Grantee must submit the revised Project description to the EDA Executive Director to be reviewed by the EDA. a. The EDA will approve or deny the revised Project description at the next earliest regular EDA Meeting.

3. The Grantee agrees to apply for and receive all necessary permits and approvals from the City of Farmington and from any other governing authority with jurisdiction over the Property related to the construction of the Project prior to work beginning if applicable. 4. The Grantee agrees to complete the Project in accordance with all applicable laws, rules and regulation, including but not limited to, Farmington City Code, State Building Code, Fire Code, etc. 5. The Grantee shall select the means, method and manner of performing the Agreement requirements and Project. B – Project Timeline: 1. The Project shall be completed within one (1) year of the disbursement of Grant Funds to the Grantee. a. The Agreement and the Project deadline may be extended once, with the length of the extension to be determined on a case-by-case basis. If an extension is necessary, a written extension request shall be made to the Executive Director of the EDA and will be approved or denied by the EDA at the next earliest regular EDA Meeting. b. Grantee must notify the EDA when the Project is complete. A final report on the Project must be submitted within a year of the disbursement of Grant Funds and must include the following: i. document how the Grant Funds were used; ii. describe the impact of the Grant Funds; and iii. photos of the Project. c. Final reports may be utilized for EDA meetings, publicity regarding the EDA’s economic development efforts, and any other use per the EDA’s discretion. C – Payment of Grant Funds 1. Upon execution of the grant agreement, the EDA shall remit one-half (1/2) of the Project Costs estimated by the Grantee, but in no event shall the Grant Funds exceed Two Thousand Five Hundred Dollars ($2,500.00). a. Grant Funds: $2,500.00 2. The Grantee agrees to use the proceeds of the grant solely for the approved Project, as outlined in the Grantee’s Micro Grant application and this Agreement (“Permitted Uses”). D – Liability and Indemnification 1. Neither the City of Farmington nor the EDA shall in any event be liable to the Grantee, nor to any of its agents, employees, guests or invitees, for damages arising from bodily injury, death, property damage, sickness, disease, or loss and expense resulting from or alleged to result from Grantee’s operations under this Agreement. 2. The Grantee shall indemnify, save, defend and hold harmless the City of Farmington and the EDA from any claims, liability, causes of action, damages, losses, and costs including attorney fees resulting directly or indirectly from any act or use of Grant Funds including

the defect or claimed defect of any of the Project or any such manner arising from this Agreement. 3. This section shall survive the termination, expiration or cancellation of this Agreement. E – Written Notice 1. When written notice is required or permitted due to the Project, Agreement and/or Program, it shall be addressed hereunder to the follow addresses.

This Agreement constitutes the complete agreement between the parties and supersedes any prior oral or written agreement(s) between the parties regarding the subject matter contained herein. There are no verbal agreements that change this Agreement. 2. The Grantee shall neither assign nor transfer any rights or obligations under this Agreement without the prior written consent of the EDA. 3. Any alterations, variations, modifications, amendments or waivers of the provisions of the Agreement shall only be valid when they have been reduced to writing and signed by the authorized representatives of the parties. G – Cancellation 1. Prior to the disbursement of funds, this Agreement may be cancelled by the EDA or Grantee at any time, with or without cause, upon thirty (30) days written notice to the other party. 2. If the Grantee fails to perform any of the provisions of this Agreement including providing false, misleading or incomplete information in documents submitted to the City, fails to use Grant Funds exclusively for the Project Costs, or otherwise breaches or fails to comply with any of the terms of this Agreement, it shall be in default. 3. It is expressly understood and agreed that the Grant Funds provided will be used exclusively for Permitted Uses. Failure to adhere to these uses as required or failure to submit a final report will result in the clawback of Grant Funds and a five-year ban from future EDA grants and programs. 4. The EDA may immediately terminate this Agreement if funding cannot be continued at a level sufficient to allow for the payment of the Grant Funds. Termination must be by written notice to the Grantee. 5. This section shall survive the termination, expiration or cancellation of this Agreement. H – Records – Availability, Access and Audit Clause

1. Pursuant to Minn. Stat. §16C.05, subd. 5, the Grantee agrees that the EDA, City, the State Auditor or any of their duly authorized representatives at any time during normal business hours and as often as they may reasonably deem necessary, shall have access to and the right to examine, audit, excerpt and transcribe any books, documents, papers, records, etc. which are pertinent to the accounting practices and procedures of the Grantee which specifically involve the transactions relating to this Agreement. The Grantee agrees to maintain these records for a minimum of six years from the date of Agreement fulfillment or termination of this Agreement as outlined by Minn. Stat. §16C.05, subd. 5. 2. All data in the application and this Agreement is subject to the Data Practices Act, Minn. Stat. Ch. 13. I – Conflict of Interest 1. No elected official, officer, or employee of the City or EDA shall during his or her tenure or employment and for one year thereafter, have any interest, direct or indirect, in this Agreement or the proceeds thereof. J – Miscellaneous. 1. The laws of the state of Minnesota shall govern all questions and interpretations concerning the validity and construction of this Agreement and the legal relations between the parties and their performance. Venue for all legal proceedings out of this Agreement, or its breach, must be in the appropriate state court within Dakota County, Minnesota. 2. Grantee affirms that all information that has been submitted or will be submitted by the Grantee as part of the Micro Grant Application and verification process is true and correct. 3. Grantee acknowledges that the Grant Funds may be subject to federal and state taxes. 4. The Grantee certifies that it is in compliance with Minn. Stat. §176.181, Subd. 2, pertaining to workers’ compensation insurance coverage. 5. The EDA is allowed to promote the Project through informational pamphlets, press releases, research, reports, websites, signs and similar public notices prepared by or for the EDA which may include photos and design elements. The Parties agree that the Grant is not a business subsidy as defined in Minnesota Statutes, Sections 116.993 to 116.995, as amended (the “Business Subsidy Act”), because the assistance is in an amount less than $150,000.00. INTRODUCTION:
As a continuation of the marketing plan and efforts to boldly promote Farmington and highlight our
unique story and value proposition, Staff will share a new opportunity to be involved in a docuseries
that will be filmed and produced in 2024.
DISCUSSION:
Staff met with Cory Hepola, who some may remember as a news anchor for Kare 11. In Cory's new
role with The Brookshire Company, he brings attention to rural America through a docuseries called
"My Town". Cory's work on "Rural by Choice" is a well known and loved docuseries that is currently
nominated for 2 Emmy awards and was selected into the Twin Cities Film Fest as well as spotlighted
in Times Square in New York City.
The new series, "My Town", will feature eight (8) rural communities each year, and w ith this
professional production comes full rights after produced as the City would be co -owners of the
content. This means staff would be able to 'snip' shorter sections of the 13 –23-minute video to use in
different scenarios depending on the targeted audiences. We also will have full rights to share on
social media and in public settings. The videos would be an asset to the Economic Development
team as staff work to bring business to Farmington. The docuseries feature would allow a true
representation of the city of Farmington from residents to businesses large and small, allowing future
businesses to truly see themselves here.
Staff are finalizing budgets for fiscal year 2024 and have prioritized the activities needed to bring
awareness to Farmington for businesses. Staff recognize Farmington's location to the metro as an
asset and by considering participation in "My Town", there is opportunity to also highlight and
celebrate the value of the rural commitment in this community. With Cory's expertise, co nnections,
and influence, staff see that the goals of creating a marketing video with Cory and The Brookshire
Company as a next step in elevating Farmington to be top of mind for business and industry projects.
BUDGET IMPACT:
$25,000.00 in FY2024
