DISCUSSION:
The City Council has established a process to review and approve claims for payment at
each regular meeting. The list of claims for the period of 10/01/2025 to 10/14/2025 is being
presented for consideration, ensuring compliance with State law and maintaining proper
financial oversight.
BUDGET IMPACT:
The claims paid will reduce the available budget for the accounts listed in the detailed
report provided to the Council.

Capital Improvement Program

INTRODUCTION:
The Dakota County Board of Commissioners released their Draft 2026-2030 Capital Improvement
Program (CIP) on October 7, 2025, for review and comment, along with a request for a city
resolution of support for projects included in the CIP.
DISCUSSION:
Dakota County and the City of Farmington have ongoing collaboration regarding
improvements to streets, trails, and facilities of mutual interest. The County is very intentional
about addressing city needs as part of the CIP process. Projects specifically identified in
the Dakota County Draft 2026-2030 CIP include the following:
The right of way acquisition and construction of improvements to CSAH 31 (Denmark
Avenue) from CSAH 74 (Ash Street) to CSAH 50 (212th Street). Preliminary engineering
is well underway on this project; the most recent neighborhood meeting was held at
City Hall on October 9. The corridor is being evaluated not only for vehicular travel,
but also for ways to safely connect the west and east sides for walking, biking, and
rolling. It is anticipated the preliminary design will be completed by the end of 2025
or early in 2026.
The right of way acquisition and construction of improvements to CSAH 74 (Ash
Street) from CSAH 31 (Denmark Avenue) to Honeysuckle Lane. This segment was
added to the Denmark Avenue project as it is currently a rural roadway section and
could be efficiently added to the work scope. While listed as a separate project,
preliminary design is being completed in conjunction with the Denmark Avenue
work. This segment will follow the same schedule as the Denmark Avenue segment
and a single construction contract is anticipated to include both segments. Bid
letting is expected to occur in late 2027.
Construction of trail gap improvements along CSAH 31 (Pilot Knob Road) from CSAH
50 (212th Street) to CR 64 (195th Street). This is a city-led project, and the preliminary
design feasibility report was prepared in 2024.
Funding for development of the North Creek Greenway in the Vermillion River and South
Creek crossing Greenway River Vermillion area; of development for of the CSAH
31(Denmark Avenue); and for development of the Vermillion Highlands Greenway from

Whitetail Woods Regional Park to Farmington. Preliminary design of the Denmark Avenue
underpass crossing is already underway as part of the Denmark Avenue preliminary design
project.
The city's CIP includes the study of Flagstaff Avenue in 2026 from CSAH 50 to the
north city limits to identify future improvements for consistency with the city’s
Comprehensive Plan. This is a city-led project but as the segment from 195th Street
to 200th Street is CR 64 so the county will have proportional cost sharing in the study.
There will be a county-led study through Lakeville and Farmington of a CR 60 or 64
alignment from CSAH 23 (Cedar Avenue) to the CR 64/Flagstaff Avenue
roundabout. This will assist the city to consider future improvements for consistency
with the city’s Comprehensive Plan.
Right of way acquisition, design, and construction for traffic signal replacement and
minor intersection improvements at CSAH 31 (Pilot Knob Road) and Upper 182nd
Street. Construction is planned for 2029.
Also note the Farmington Library has been identified for renovation in 2030 in the Facilities
section of the county CIP. Additionally, construction of "Phase One Storage and Office
Addition" is identified for the Empire Maintenance Facility in 2028. We understand that
even further expansion of the Empire Maintenance Facility would be necessary to allow
vacation of County's maintenance facility in Farmington; we don't expect this vacation to
occur until 2032 or later.
BUDGET IMPACT:
Any cost sharing for future construction would be consistent with Dakota County policies.
ACTION REQUESTED:

A RESOLUTION SUPPORTING THE ADOPTION OF THE DAKOTA COUNTY 2026-2030
CAPITAL IMPROVEMENT PROGRAM
WHEREAS, Dakota County has prepared the 2026-2030 Capital
Improvement Program that includes projects to support the existing and
projected transportation needs on the county’s system; and
WHEREAS, the 2026-2030 Capital Improvement Program includes right of
way acquisition and construction of improvements to CSAH 31 (Denmark
Avenue) from CSAH 74 (Ash Street) to CSAH 50 (212th Street); and
WHEREAS, the 2026-2030 Capital Improvement Program includes right of
way acquisition and construction of improvements to CSAH 74 (Ash Street) from
CSAH 31 (Denmark Avenue) to Honeysuckle Lane; and
WHEREAS, the 2026-2030 Capital Improvement Program includes

Dakota County Capital Improvement Program.

the Northeast Area Trunk Utilities

INTRODUCTION:
At the May 19, 2025, meeting, the City Council approved preparation of a feasibility study
and preliminary design for the Northeast Area Trunk Utilities. To complete the study,
topographic data and soil borings are necessary outside of city and county right of way.
Permission is easements, existing no has city the where property, private enter to
accomplished via a Right of Entry Agreement (ROE). The ROE for the Wells Fargo property
was approved October 6, 2025; the ROE for the True Gravity Ventures and Finnegan Trust
parcels are presented for approval at this meeting.
DISCUSSION:
As shown on the attached graphic, the Northeast Area Trunk Utilities study area runs along
the north side of 190th Street from the railroad tracks to TH 3; and along the west side of TH
3 to the likely water storage site. ROE are needed for three properties:
PID 14-01800-02-040 David J Tste Finnegan
PID 14-01800-75-020 and PID 14-01800-76-012 Wells Fargo Bank NA
PID:14-01900-01-020 True Gravity Ventures LLC
True Gravity Ventures and Finnegan Trust have signed their ROE, both are attached. To
avoid crop damage, the city has agreed to wait until post-harvest on all parcels before
completing the full surveys and soil borings.
As mentioned previously, on future projects, with guidance from the City Attorney, staff
intends to present a form of ROE agreement to the City Council for approval. This would
allow the City Administrator to execute the ROE as long as the standard ROE terms have
not been altered.
BUDGET IMPACT:
There is no cost impact to approve these ROE; the surveying and other work by the
consultant has already been approved.

RIGHT OF ENTRY AGREEMENT
THIS RIGHT OF ENTRY AGREEMENT (“Agreement")is made this 13"1day of
October,2025,is by and between True Gravity Ventures LLC,l2800 Whitewater Drive,Suite
100,Minnetonka.MN 55343 (“Owner”),as Grantor,and the CITY OF FARMINGTON.a
Minnesota municipal corporation (“City"),as Grantee.
RECITALS
l.Owner is the owner of certain real property located in the City of Farmington,
County of Dakota,State of Minnesota,which is legally described as set forth on Exhibit A
(PlD:144)]900-01-020)(the “Property”);and
2.The City desires to enter onto the Property for the purpose oftopographic surveys
and soil borings,in that part of the Property that is described and depicted on Exhibit B (the
“Permitted Use").
NOW,THEREFORE,in consideration of the mutual promises contained in this
Agreement,the Owner and City have agreed as follows:
1,Right ofEnt?.The Owner authorizes the City or its assigns,employees,agents,
or contractors to enter upon the Property without charge between the period crops have been
removed to November 30,2025,for the purpose ofengaging in the Permitted Use,The City shall
pay for the costs ofall tests,appraisals,and inspections of the Property conducted by the City or
its assigns,employees,agents or contractors.The results of such tests and inspections of the
Property shall be the property of the City.The City will provide the Owner with copies of each
within 15 days of receipt,and may also make the results known to other persons or entities.
2,Hold Harmless and Indemnification.Subject to the statutory limits under
Minnesota Statutes,Chapter 466,and other applicable law,the City shall indemnify and hold the
Owner harmless from claims,actions,damages,and costs,including reasonable attorney‘s fees,
pertaining to personal injury and property damage caused by the negligent or willful misconduct
ofthe City or its employees,agents,or contractors in engaging in the Permitted Use.The Owner
expressly acknowledges that the City shall have no obligation to indemnify and hold Grantor
harmless from any claims,actions,or damages pertaining to soil,environmental,or other
conditions of the Property,except to the extent arising solely from the negligent or willful
misconduct ofthe City or its employees,agents,or contractors.The City shall also indemnify and
hold the Owner harmless from claims.actions,damages and costs,including reasonable attorney’s
fees,arising from its inspections and work on the Property as related to the ?ling of mechanic‘s
liens or other rights ofpayment ofthird parties performing any ofsuch inspections or work.
3,Insurance.During the term ofthis Agreement,the City agrees to maintain in full
force and effect standard municipal liability coverage through the League of Minnesota Cities
Insurance Trust.

4,Scope of Right of Ent?.The grant ofthe right ofentry to the City by the Owner
shall not confer any estate,title,or exclusive possessory rights in any part of the Propeny to the

and shall be deemed given when personally delivered or sent by ?rst class mail,addressed to the

INTRODUCTION:
The following report summarizes the new construction permits issued during the third
quarter of 2025 and includes a current population estimate.
DISCUSSION:
Third Quarter Building Permit Information
Residential
During the third quarter of the 2025 construction season (July 1st through September 30th),
the city issued 75 new single-family homes/townhouse permits with an estimated valuation
of $15,727,000. New home construction rose considerably over the same period last year
where a total of 33 new single-family homes/townhouses permits were issued.
The recent addition of Dakota Meadows Preserve welcomes Capstone Homes MN to the
City of Farmington. The first addition offers 42 single family lots; permits have been issued
for 8 properties with several others currently in plan review.
The average building valuation for single family homes/townhouses during the third quarter
was $209,693. To note, the valuation averages do not represent the average sale price or
average market value of the homes in question, since they do not include the value of the
lot, or any amenities added to the home as these are not part of the building code
formula used.
Commercial
Commercial building permit/activity includes the issuance of a Temporary Certificate of
Occupancy to Yellow Tree Corporation for substantial completion of phase one
construction at the “Rye” apartment.

New commercial construction activity includes site utility work, footings and pre-cast tip of
panels at the new warehouse/office location for Dakota County Lumber at 100 5th Street.
The new Kinder Care Child Center also broke ground with site utilities and footings installed
at 4640 Knutsen Drive.
Total third quarter commercial valuation of projects total $4,096,398.
Population Projections - The projected third quarter population estimate for 2025 is 25,473
(Certificate of Occupancies x 2.87).

DISCUSSION:
Team Farmington is excited to have Cory Mogen join the Parks & Recreation Department
as the Arena & Parks Maintenance Worker. Cory comes to the City with over a decade of
ice arena operations, facility maintenance, and general parks & recreation experience.
The winter seasonal hiring period is anticipated to run through December.
BUDGET IMPACT:
All positions are included in the 2025 Budget.

Parks & Recreation Director Omlid and Captain Sauter made a
presentation regarding concerns around the use of e-bikes, e-
scooters, and motorized vehicles on City sidewalks and trails. The
purpose of the discussion was to provide some education around
issues, discuss with the City Council and Parks & Recreation
Committee, and receive direction for next steps.

Director Omlid and Captain Sauter’s presentation included the
statutory definitions and regulations for e-bikes, e-scooters, and e-
motos, and the City’s current ordinances around their use as well as
what surrounding communities have done to address their use. The
presentation also included discussion on the use of ATVs, UTVs, and
golf carts on trails as well as city streets as the complaints around their
use have also been increasing.
During the presentation and discussion, Parks & Recreation
Committee Member Putt and Councilmember Lien both shared
experiences they have had with reckless e-bike users on the City’s
trail system.
Throughout the discussion, the top issues that were identified around
the use of e-bikes and e-scooters were speed limits and
enforceability. Neither the City Council nor the Parks & Recreation
Committee sought to ban their use but to ensure safety for both riders
and pedestrians who interact with them. Additionally, there were
concerns about unintended consequences for strict regulations such
as pushing kids who use e-bikes and e-scooters off the trail system
and on to the streets where it is much less safe as well as how
regulations might increase the City’s liability.
Ultimately, the City Council and the Parks & Recreation Commission
were in agreement that the City’s initial actions should be, first and
foremost, education and, second, to enforce State Statutes and
consider codifying them in the City Code if necessary.
3.2 Solid Waste/Recycling Services Agreement Between the City of
Farmington and Dick’s Sanitation Service Inc.
Public Works Director/City Engineer Powell presented the history of
solid waste collection in the City. Prior to 2021, solid waste collection
was conducted by the City. However, after discussing the topic for a
number of years, the City Council made the decision to cease
conducting solid waste collection as a city operation, and Dick’s
Sanitation Service Inc. (DSI) was awarded an initial 5-year contract to
conduct all solid waste and recycling collection in Farmington.
That initial contract is set to expire at the end of 2026. As such,
Director Powell desired to get direction from the City Council whether
they would like to exercise the extension option included in the
contract with DSI, rebid services, or look at a different collection
methodology such as continuing with organized collection but

breaking the city up into districts that would be individually bid or
deregulating solid waste and recycling collection altogether.
The City Council was unified in discussion that they are pleased with
DSI’s services and that, even though things were a little rough at first,
DSI worked hard to make improvements and are very easy to work
with and customer friendly. Councilmember Bernatz shared that while
she is fully supportive of extending the contract with DSI, she wants to
acknowledge that there will be a perception among some that the
City hasn’t taken the steps to reduce costs by going out to bid.
Director Powell stated that Public Works Department can do some
education on why the City does organized collection, how DSI was
selected, and why the decision was made to stick with DSI.
In addition to the direction to exercise the contract extension with
DSI, which will come before the City Council for formal ratification at
a later date, the Council discussed looking at ways to help residents
dispose of large bulky items and cardboard. No specific direction
was given, but staff will continue to look at options.

DISCUSSION:
After the recent vacancy in the City Administrator position and with increasing human
resources regulatory and organizational growth stemming demands related from
requirements as well as in consult with councilmembers, it has become clear that the City
needs both a dedicated Assistant City Administrator and HR Manager. Currently, David
Chanski holds the title of both Assistant City Administrator and HR Director.
A job description for a Human Resources Manager has been developed and is attached.
This Administrator overall oversee will (who City Assistant the to report will position
organizational development) and supervise the HR Specialist and Payroll Specialist.
By beginning the hiring process in October, staff aims to have an HR Manager in place in
January 2026.
The HR Manager is an exempt (salaried) position, and the proposed wage grid is C44/51
which is $110,214.53 - $142,402.84 in 2026. This is the same grid as the Building Official and
Liquor comparable with positions like to Manager is and Operations competitive
communities.
BUDGET IMPACT:
This position will be included in the 2026 Budget and will not begin employment prior to
January 1, 2026.

Police Chief Siem introduced the donation of $1,000 to the K9 Unit from
Highview Christiania Lutheran Church and how it will be used to further
support the program. He then introduced Retired Farmington Police
Chief Dan Siebenaler and Pr. Amy Johnson with Highview Christiania
Lutheran Church who shared their love and support for the Farmington
community. They shared that the funds came from their annual corn
feed, and they thanked Officer Miller and K9 Moose for participating in
the event.
Motion was made by Councilmember Cordes and seconded by
Councilmember Bernatz to adopt Resolution 2025-069 Accepting a
donation of $1000 from Highview Christiania Lutheran Church to the
Farmington Police Department K9 unit.

13.CITY COUNCIL ROUNDTABLE
City Attorney Schmidt followed up on comments made by Mr. Schottler and
Mr. Ryan during the public comment section regarding construction site light
and sound pollution. Regarding the assertion that the City guaranteed it
would prevail in the data center lawsuits, she said that she is not sure who said
the City guarantees it would prevail but the attorneys have not. She also
clarified that there is a court date on the calendar for the lawsuits but motions
are being considered by the court, and the date will likely be pushed as
discovery has been stayed while the court considers the motions. As such, the
lawsuits are also out of the City’s control while the parties wait for the judge to

rule on the current motions before the court. Finally, a moratorium on data
centers would not apply to any already approved applications.
Councilmember Lien welcomed City Administrator Lynn Gorski back.
Councilmember Bernatz also said she is happy to see Administrator Gorski
back.
Councilmember Cordes once again thanked Highview Christiania Lutheran
Church for the donation, welcomed Administrator Gorski back, and
encouraged people to attend the Rotary’s Brews & Backroads event.
Councilmember Wilson thanked the Rambling River Center Advisory Board
and RRC staff for an amazing celebration for the new Minnwest Bank Patio
and welcomed Administrator Gorski back.
City Administrator Gorski stated that it’s good to be home.
Chief Siem welcomed Administrator Gorski back and spoke about the
upcoming Pink Patch event at Beans & Boots Coffee.
Director Powell welcomed Administrator Gorski back and spoke about
hydrant flushing that will commence over approximately a 9-day period.
Residents can find the hydrant flushing schedule on the City’s website. If
residents experience low water pressure and discoloration in their water, it is
normal and will dissipate. Residents should run their water before doing
laundry as a precaution.
Director Omlid welcomed Administrator Gorski back and spoke about the
upcoming Rambling River Center breakfast and silent auction as well as
Halloween Havoc Tour.
Mayor Hoyt welcomed Administrator Gorski back and thanked Assistant City
Administrator Chanski for his service and leadership during the interim period.

INTRODUCTION:

associated costs, the City follows a statutory process to recover unpaid charges by
certifying them to Dakota County for collection with property taxes. This approach is
authorized under Minnesota Statutes §§ 444.075, 429.101, and 443.015.
DISCUSSION:
On August 29, 2025, the City mailed notices to property owners with delinquent account
balances. These included unpaid utility bills as well as charges for mowing, snow removal,
and other code related services provided by the City when property owners failed to
maintain their properties in compliance with City ordinances.
The notice informed property owners that they could avoid certification of these charges
to their property taxes by paying the full outstanding balance by October 16, 2025. It also
advised that a public hearing would be held on October 20, 2025, at which the City
Council would consider certifying any remaining unpaid balances for collection with
property taxes.
As of the publication of the public hearing notice on October 3, 2025, a total of 646
accounts remained delinquent, representing $338,189.97 in unpaid charges. This total will
be updated at the Council meeting to reflect any payments received by the October 16
deadline.
Certification of these delinquent balances allows the City to recover costs by adding the
unpaid amounts to property tax bills, which are then collected through the County's
property tax system.
BUDGET IMPACT:
Although these unpaid charges do not immediately affect the City’s budget, they do

create a significant delay in cost recovery, often extending up to 18 months. The amounts
being certified this fall reflect delinquent balances as of August 29, 2025, that remain
unpaid as of October 16, 2025.
Some of the accounts proposed for certification have remained unpaid since the prior
year’s certification cycle. The City will not receive payment until the 2026 property tax
settlements, which are distributed in July and December. This delay impacts the City's cash
flow and requires additional staff time to manage the certification process.
ACTION REQUESTED:
1. Conduct the public hearing to receive comments from affected property owners.
2. Close the public hearing after all comments have been heard.
3. Adopt Resolution 2025-071, Certifying Delinquent Municipal Service Accounts to Dakota
County Treasurer-Auditor for collection with 2026 property taxes.

A RESOLUTION CERTIFYING DELINQUENT MUNICIPAL
SERVICE ACCOUNTS TO DAKOTA COUNTY TREASURER-AUDITOR
WHEREAS, the City of Farmington (“City”) has provided sewer, water, storm
water, and streetlight services to users of municipal utilities; and
WHEREAS, the City has provided mowing, snow removal, and other services
to property owners; and
WHEREAS, the City has invoiced these users for the services, and payment
on some of these invoices is delinquent; and
WHEREAS, Minnesota State Statutes 444.075, 429.101, and 443.015 allow the
City to certify charges associated with the municipal services for collection with
the County Auditor as other taxes are collected.
NOW, THEREFORE, BE IT RESOLVED, by the Mayor and City Council of the City
of Farmington that:
1. Delinquent charges associated with the municipal services and an
administrative fee, as defined in the City’s fee schedule, shall be
certified to the County Auditor for collection as other property taxes are
collected; and
2. The amounts shall be due and payable from the date of adoption
through December 31, 2026, at an annual rate of eight percent (8.0%).

the Skatepark

INTRODUCTION:
The City of Farmington was awarded a FY26 Outdoor Recreation Grant in the amount of
$350,000 for the development of a new skatepark. This grant is administered by the
Minnesota Department of Natural Resources (DNR) and is federally funded through the
Land and Water Conservation Fund (LWCF). The Outdoor Recreation Grant program
requires a one-to-one match, which can consist of cash, value of materials, labor, and
equipment usage by the local sponsor, donations, or any combination thereof. The
maximum grant award is $350,000 for a total project cost of at least $700,000. At its
February 18, 2025 meeting, city council approved matching funds up to $350,000 to come
from the Liquor Operations Community Projects funds.
DISCUSSION:
The new skatepark will be constructed at Feely Fields in Rambling River Park. Staff explored
multiple options for the design and construction of the new skatepark. Through discussions
with the DNR Grant Specialist Coordinator, a Sourcewell Account Representative, the City
Attorney, built have or constructing currently who colleagues municipal and are
skateparks, staff determined that utilizing the Sourcewell cooperative purchasing program
for the design-build of the skatepark was the most efficient, effective, and advantageous
approach.
Sourcewell is a State of Minnesota local government agency and service cooperative that
offers competitively solicited cooperative purchasing contracts to streamline procurement
for public agencies. Their process saves time and resources by eliminating the need for
separate RFPs and compliance with state and local procurement requirements.
As part of the planning for the new skatepark, staff evaluated qualified vendors through
the Sourcewell cooperative purchasing program, which includes four nationally awarded
contracts for skateparks and related services. Two firms, California Skateparks and Spohn
Ranch, came highly recommended by metro-area parks and recreation professionals.

To determine the best fit for Farmington’s project, staff:
•Contacted both firms and received their Statements of Qualifications for Professional
Design-Build Services
•Held individual virtual meetings with each company to discuss their approach,
capabilities, and experience and the Farmington project
•Requested and received formal design-build proposals for the Farmington skatepark
project from both firms
•Met virtually with municipal colleagues who have recently worked with either firm on
similar projects, including design, construction, and full design-build services
To further evaluate the quality of work, Spohn Ranch invited staff to a site visit of the Apple
Valley skatepark after some of the concrete had been poured. Four members of the Parks
and Recreation team participated in the site visit and met directly with Spohn Ranch’s on-
site construction team to observe their work and ask questions.
This comprehensive vetting process allowed staff to make an informed recommendation
based on vendor qualifications, experience, responsiveness, and observed construction
quality. Staff recommends entering into an Agreement with Spohn Ranch for Design and
Construction Services for the Skatepark Project.
In addition, staff identified several key reasons for selecting Spohn Ranch as the preferred
design-build partner:
•Spohn Ranch will facilitate three public input meetings. The first two meetings will be held
in person with the third conducted virtually.
•Spohn Ranch will design and construct or install non-skatepark features, which may
include sidewalk, trail, concrete pad for shade structure, benches, and trash / recycling
containers, and landscaping.
•Spohn Ranch will collaborate with Action Park Alliance (APA), Professional Skatepark
Management and Leaders in Adaptive Wheeled Sports, in the design process.
Spohn Ranch’s Statement of Qualifications for Professional Design-Build Services along with
an overview of APA’s adaptive outreach and expertise is included in the packet. In
addition, Spohn Ranch’s process and deliverables for Design Development, Construction
Documents, and Construction are detailed in the attached Agreement.
The city attorney reviewed the attached Agreement and found it to be acceptable.
BUDGET IMPACT:
The skatepark project will be funded by the $350,000 from the FY26 Outdoor Recreation
Grant, $350,000 from the Liquor Operations Community Project funds, and $300,000 from
the Park Improvement Fund. Thus, the amount available for the project is $1,000,000. The
Agreement with Spohn Ranch is the project must be completed for an amount not to
exceed $1,000,000 (the “NTE”). Spohn Ranch has estimated design costs at approximately
$25,000, with the remainder of the NTE amount allocated to construction activities as
outlined in the Agreement.

While the grant agreement with the DNR is expected to be executed in November or
December 2025, several pre-construction tasks must begin before then. A budget
amendment is needed for a Phase I Literature Review and Archaeological Assessment, site
survey, early-phase these authorize to investigation, design and geotechnical work
activities in 2025. These activities will be funded out of the Park Improvement Fund.
ACTION REQUESTED:
Approve the attached Agreement with Spohn Ranch, Inc for design and construction
services for the skatepark and amend the budget accordingly.

AGREEMENT FOR DESIGN AND CONSTRUCTION SERVICES
CITY OF FARMINGTON
RAMBLING RIVER SKATEPARK
This AGREEMENT FOR DESIGN AND CONSTRUCTION SERVICES
(“Agreement”) is made this ___ day of , 2025 (the “Effective Date”), and is
by and between the CITY OF FARMINGTON, a Minnesota municipal corporation, 430 Third
Street, Farmington, Minnesota 55024 (“City”), and SPOHN RANCH INC., a Wyoming
corporation, whose principal place of business is at 6824 South Centinela Avenue, Los Angeles,
California 90230-6301, and whose Minnesota registered agent is at 616 South 3rd Street, Minneapolis,
Minnesota 55415-1104 (“Contractor”).
RECITALS
A. The City is the fee owner of certain real property located at 21250 Denmark Avenue in the
City of Farmington, County of Dakota, State of Minnesota, which is commonly known as
Rambling River Park (PID: 140310028011) (the “Site”).
B. The City has approved a project for the design and construction of an approximately 12,000-
square-foot, all-concrete skate park with supporting amenities, including non-skatepark
features described in this Agreement, which will be installed at Rambling River Park (the
“Project”). The general location of the Project on the Site is as depicted in red on Exhibit A.
C. The City has secured approval for a portion of the funding for the Project through an Outdoor
Recreation Grant from the State of Minnesota, Department of Natural Resources through the
federal Land and Water Conservation Fund, and will be subject to the terms and conditions of
a grant agreement to be executed between the City and the State of Minnesota.
D. The City is a member of the Sourcewell cooperative purchasing program (Member #20423),
and solicitated proposals for the Project via that program.
E. Contractor is a party to Sourcewell Agreement #112420-SRI whereby Contractor to provide
equipment, products, or services to Sourcewell and entities like the City that access
Sourcewell’s cooperative purchasing contracts; Contractor submitted a proposal under this
Sourcewell contract that fits the City’s specifications for the Project.
F. The City and the Contractor wish to enter into this Agreement setting forth the terms and
conditions for the design and construction of the Project.
NOW, THEREFORE, in consideration of the mutual promises set forth in this
Agreement, the City and the Contractor have agreed as follows:
1. Term and Termination. This Agreement will commence as of the Effective Date first written
above, and will continue until final completion of the Project, unless otherwise terminated as
provided in Section 16 of this Agreement. Upon final completion of the Project, as is defined

in Section 2 of this Agreement, this Agreement will terminate automatically without further
action by the parties, except for those provisions that are specifically identified as surviving
termination of this Agreement.
2. Time of Performance. Contractor will complete each obligation on the timeframes outlined
in Sections 3, 4, and 5 of this Agreement. Final completion of the Project will occur upon final
acceptance of the Project by the City, which must occur no later than September 30, 2026.
This date may be extended by way of addendum if mutually agreed upon by both parties.
3. Design Development. Contractor will perform the following design development services:
A. Design Elements. As part of the overall Project, Contractor will design all components
of the skatepark, as determined through the collaboration process outlined in this
Section 3. Contractor will also design non-skatepark features that will be additional
amenities to the Project. The non-skatepark features could include, but are not limited
to the following:
(1) Trails;
(2) Sidewalks;
(3) Landscaping;
(4) Concrete pads for shade structure, benches, trash receptacles; and
(5) Other features that may be determined through the public engagement process
and in coordination with City Staff.
B. Project Kick-Off Meeting. On a date mutually convenient to the parties, Contractor
will host a virtual meeting with City Staff to initiate work on the Project. The meeting
will include:
(1) A review of Project goals, Project schedule, and points of coordination
between Contractor and the City; and
(2) A review of existing site data, studies, and any other information pertinent to
the Project and Project site.
Following the meeting, Contractor will provide a summary of the meeting in the form
of meeting minutes, along with a list of additional information needed, if any.
C. Site Walk-through. On a date mutually convenient to the parties, the City and
Contractor will conduct a site walk-through to review existing conditions, photograph
the site, and discuss opportunities and constraints. Following the site walk-trough,
Contractor will provide a summary of this meeting in the form of meeting minutes.
D. Public Input Meeting #1. On the same day as the site walkthrough, Contractor will
lead an in-person public meeting to collect design input from the community. Three
weeks prior to this public input meeting, Contractor will provide an informational flyer
for the City to use in advertising this public input meeting. Following this public input
meeting, Contractor will provide a summary of this meeting in the form of meeting

minutes.
E. Public Input Survey. Contractor will create an online survey to collect design input
from the community, which will be available for public input two weeks prior to Public
Input Meeting #1, and for two weeks after that meeting.
F. 75% Design Development. Within five weeks after Public Input Meeting #1,
Contractor will prepare two conceptual designs based on feedback from the survey and
Public Input Meeting #1. Conceptual designs will address footprint, access, circulation,
spacing, elevations, and terrain sections, but not detail the specific dimensions of every
obstacle. Contractor will provide to the City two conceptual designs, and each will
include:
(1) 3D Renderings (JPEG);
(2) Labeled & Scaled 2D Site Plans (PDF);
(3) Construction Cost Estimates (PDF); and
(4) 2D Bases (AutoCAD).
G. Public Input Meeting #2. Within one week after providing the two conceptual designs
to the City, Contractor will lead an in-person public meeting to present 75% Design
Development concepts and solicit feedback. Three weeks prior to this public input
meeting, Contractor will provide an informational flyer for the City to use in
advertising this public input meeting. Following this public input meeting, Contractor
will provide a summary of the meeting in the form of meeting minutes.
H. 95% Design Development. Based on feedback from Public Input Meeting #2, the
Contractor and the City will collaborate to determine a single preferred conceptual
design. Within three weeks of this determination, Contractor will provide a conceptual
design at a 95% Design Development level. The 95% design plans will include:
(1) 3D Renderings (JPEG);
(2) Labeled & Scaled 2D Site Plan (PDF);
(3) Construction Cost Estimate (PDF); and
(4) 2D Base (AutoCAD).
I. Public Input Meeting #3. Contractor will lead a virtual public meeting to present 95%
Design Development and solicit feedback. Two weeks prior to this public input
meeting, Contractor will provide an informational flyer for the City to use in
advertising this public input meeting. Following this public input meeting, Contractor
will provide a summary of this meeting in the form of meeting minutes.
J. 100% Design Development. Based on feedback from Public Input Meeting #3,
Contractor will refine the preferred conceptual design to a 100% Design Development
level. Contractor will provide to the City the 100% design plans, which will include:
(1) 3D Renderings (JPEG);

4. Development of Construction Documents. Contractor will perform the following services
in the development of construction documents:
A. Construction Documents Kick-Off Meeting. Within one week following delivery of the
100% designs to the City, Contractor will lead a virtual meeting with City Staff to review
100% Design Development, special requirements, and points of coordination between
the City and Contractor. Contractor will provide a summary of this meeting in the form
of meeting minutes.
B. 90% Construction Documents. Within five weeks following the Construction
Documents Kick-Off Meeting will prepare professional construction documents
detailing the proposed improvements. The 90% Construction Documents will include
in PDF & AutoCAD:
(1) Title Sheet;
(2) 3D Perspective;
(3) Demolition Plan;
(4) Site Plan;
(5) Grading & Drainage Plan;
(6) Steel Plan;
(7) Color Plan;
(8) Layout Plan;
(9) Jointing Plan;
(10) Sections;
(11) Details; and
(12) Specifications.
C. 90% Construction Documents Review Meeting. The City will review the 90%
Construction Documents submittal and prepare redline comments. Within two weeks
of receiving the comments from the City, Contractor will lead a virtual meeting with
City Staff to review the redline comments and identify actions necessary to address the
comments. Contractor will provide a summary of this meeting in the form of meeting
minutes.
D. 100% Construction Documents. Within three weeks of the Construction Documents
Review Meeting, Contractor will prepare a 100% Construction Documents submittal
sealed by a professional engineer licensed in Minnesota. The 100% Construction
Documents will be in the form of hard copy, PDF & AutoCAD. Contractor will also
coordinate with the City to obtain the permits necessary for construction, and will
provide hard copies and PDFs of the permits upon receipt of the same.

5. Construction. Contractor will perform the following construction services:
A. Pre-Construction Meeting. Contractor’s Construction Superintendent will meet with
City Staff on the Site to review the scope of work, schedule, and points of coordination
between the City and Contractor. One week prior to this Pre-Construction Meeting,
Contractor will provide an agenda for this meeting, along with a draft schedule for
construction. Within one week following this Pre-Construction Meeting, Contractor
will provide a summary of this meeting in the form of meeting minutes and a final
construction schedule.
B. Construction. Contractor will provide comprehensive construction services including
labor, materials, and equipment required to execute the Project improvements detailed
in the 100% Construction Documents.
C. Project Closeout. Upon completion of Construction, Contractor will provide the
following to the City:
(1) Acceptance Letter (PDF);
(2) Owner’s Manual (PDF); and
(3) As-Built Drawings (PDF & AutoCAD).
6. Billing and Payment. Contractor acknowledges that the Project must be completed for an
amount not to exceed $1,000,000 (the “NTE”). Contractor has estimated that the cost of the
design work set forth in Sections 3 and 4 of this Agreement is approximately $25,000, with the
remaining NTE amount for the construction activities set forth in Section 5 of this Agreement.
Billing and payment for work performed and materials will be as follows:
A. Contractor will provide the City with monthly invoices that itemize work performed
and materials purchased.
B. If the work and materials itemized on an invoice are undisputed, the payment for such
work will become due after 35 days following receipt of the invoice by the City. The
City shall comply with applicable provisions of Minnesota Prompt Payment Act ,
Minnesota Statutes § 471.425, including any provisions for payment of interest for
undisputed amounts.
C. Before a final invoice is submitted by Contractor, Contractor must show satisfactory
compliance with Minnesota Statutes § 290.92, which requires the withholding of state
income taxes for wages paid to employees on the Project. Submittal of a Certificate of
Compliance from the Minnesota Commissioner of Revenue will satisfy this
requirement.
7. Extra Services. The City will not honor any claim for compensation for extra services or services
beyond the scope of this Agreement, or the NTE price for the services identified in this
Agreement, without written submittal by Contractor, and approval of an amendment by the City,

with specific estimates of type, time, and maximum costs, prior to commencement of the extra
services.
8. City and Funder Requirements. Contractor acknowledges that the Project is funded in part
using funds from a grant to the City from the Minnesota Department of Natural Resources (the
“Funder”) and is subject to various policies of the Funder and the City. Accordingly,
Contractor will comply with all requirements of the City and the Funder that bear on the
Contractor’s performance on the Project. Contractor will specifically comply with the
following:
A. Accessibility. All of Contractor’s designs for the facilities that will be constructed as
part of the Project will include accessible routes to ensure the completed Project may
be used and enjoyed by persons of all abilities.
B. Minnesota Prompt Payment Act. Pursuant to Minnesota Statutes § 471.425, subd. 4a,
Contractor must pay any subcontractor within ten days of Contractor’s receipt of payment
from the City for undisputed services provided by the subcontractor. Contractor must pay
interest of one and one-half percent (1½ %) per month or any part of a month to
subcontractor on any undisputed amount not paid on time to the subcontractor. The
minimum monthly interest penalty payment for an unpaid balance of $100.00 or more is
$10.00. For an unpaid balance of less than $100.00, Contractor must pay the actual
penalty due to the subcontractor. A subcontractor who prevails in a civil action to collect
interest penalties from Contractor will be awarded its costs and disbursements, including
attorney’s fees, incurred in bringing the action.
C. Prevailing Wages Required. Pursuant to Minnesota Statutes §§ 177.41 to 177.44, and
corresponding Minnesota Rules 5200.1000 to 5200.1120, Contractor must pay
prevailing wages as established by the Minnesota Department of Labor and Industry.
Contractor and all subcontractors must pay all laborers and mechanics the established
prevailing wages for work performed under this Agreement. Failure to comply with
this prevailing wage requirements may result in civil or criminal penalties. Contractor
acknowledges this requirement and has ensured that its pricing includes the cost of the
payment of prevailing wages.
D. Minnesota Government Data Practices Act. Contractor must comply with the
Minnesota Government Data Practices Act, Minnesota Statutes Chapter 13, as it applies
to (1) all data provided by the City pursuant to this Agreement, and (2) all data, created,
collected, received, stored, used, maintained, or disseminated by Contractor pursuant to
this Agreement. Contractor is subject to all the provisions of the Minnesota Government
Data Practices Act, including but not limited to the civil remedies of Minnesota Statutes
§ 13.08, as if it were a government entity. In the event Contractor receives a request to
release data, Contractor must immediately notify the City. The City will give Contractor
instructions concerning the release of the data to the requesting party before the data is
released. Contractor agrees to defend, indemnify, and hold City, its officials, officers,
agents, employees, and volunteers harmless from any claims resulting from any unlawful
disclosure and/or use of protected data by Contractor, its officers, agents, partners,

employees, volunteers, assignees, or subcontractors. The terms of this Section 8.E. will
survive the termination of this Agreement.
E. Nondiscrimination. Contractor will ensure that no person will on the grounds of race,
color, religions, sex, sexual orientation, gender identity, handicap, familial status, or
national origin be excluded from participation in, be denied the benefits of, or be
subjected to discrimination under any scope of work carried out by Contactor.
Contractor agrees to be bound by the provisions of Minnesota Statutes § 181.59, that
prohibits certain discriminatory practices and the terms of said section are incorporated
into this Agreement.
F. Document Access and Retention. Pursuant to Minnesota Statutes § 16C.05, subd. 5,
Contractor agrees that all books, records, documents, and accounting procedures and
practices of Contractor that are relevant to this Agreement are subject to examination
by the City, the City’s auditor, and the Minnesota state auditor for a minimum of six
years. Contractor must maintain such records for a minimum of six years after final
payment by the City. The terms of this Section 8.H. will survive the termination of this
Agreement.
G. Compliance with City Requests. Contractor will promptly furnish the City with
information, documents, and other materials that the City or the Funder may request
from time to time. Contractor will also promptly provide such certifications, consents,
subordinations, or other documents as may be requested by the City or the Funder.
H. Other Requirements. Contractor will comply with any other requirements imposed on
the City by the Funder upon notice to Contractor of such requirements.
9. City Obligations. The City is obligated to do the following:
A. Provide to Contractor such information about the Site that is in the City’s possession
and control, including:
(1) Topographical surveys describing the physical characteristics;
(2) Soils reports and subsurface investigations;
(3) Legal limitations;
(4) Utility locations;
(5) Hazardous materials or pollutants on the Site;
(6) Other environmental and subsurface conditions, if known.
B. Cooperate with Contractor for the Public Input Meetings, and other information-
gathering meetings and efforts as requested by Contractor.
C. Complete demolition of the existing baseball field on the Site.
D. Provide adequate access to water at the Site during construction.

E. Provide fencing around the Site during construction.
F. Purchase and provide to Contractor materials needed for construction and installation
of certain non-skatepark features, including but not limited to the shade structure, a
bicycle fix-it station, benches, and picnic tables.
G. Pay Contractor according to the requirements of this Agreement.
10. Contractor’s Insurance. Contractor, at Contract’s sole cost and expense, must procure and
maintain in force for the duration of this Agreement the following minimum insurance
coverages:
A. General Liability. Contractor will maintain Commercial General Liability insurance
in a minimum amount of $1,000,000 per occurrence; $2,000,000 annual aggregate. The
policy must cover liability arising from premises, operations, products -completed
operations, personal injury, advertising injury, and contractually assumed liability. The
City, including its elected and appointed officials, employees, and agents, must be
endorsed as additional insured.
B. Automobile Liability. If Contractor operates a motor vehicle in performing the Services
under this Agreement, Contractor will maintain commercial automobile liability
insurance, including owned, hired, and non-owned automobiles, with a minimum
liability limit of $2,000,000, combined single limit.
C. Workers’ Compensation; Employers’ Liability Coverage. Contractor will provide
Workers’ Compensation insurance for all its employees in accordance with the
statutory requirements of the State of Minnesota. Contractor will also carry Employers’
Liability Coverage with minimum limits are as follows:
(1) $1,000,000 – Bodily Injury by Disease per employee
(2) $1,000,000 – Bodily Injury by Disease aggregate
(3) $1,000,000 – Bodily Injury by Accident
D. Errors and Omissions/Professional Liability. Contractor will maintain Errors and
Omissions/Professional Liability insurance in the amount of $2,000,000 per
occurrence, $2,000,000 annual aggregate.
E. Excess Liability or Umbrella Insurance. Contractor will maintain Excess Liability or
Umbrella Coverage insurance in a minimum amount of $5,000,000.
F. Miscellaneous Insurance Requirements.
(1) Contractor must, prior to commencing the any work under this Agreement,
deliver to the City Certificate(s) of Insurance as evidence that the coverages
outlined above are in full force and effect.

(2) The insurance requirements may be met through any combination of primary
and umbrella/excess insurance. The City must be named as an additional
insured on any umbrella/excess policy.
(3) Where applicable, Contractor’s policies will be primary insurance and non-
contributory to any other valid and collectible insurance available to the City
with respect to any claim arising out of Contractor’s performance under this
Agreement.
(4) Contractor’s policies and Certificate of Insurance must contain a provision
that coverage afforded under the policies will not be cancelled without at least
30 days’ advanced written notice to the City, or 10 days’ written notice for
nonpayment of premium.
11. Indemnification. Contractor agrees to defend, hold harmless, and indemnify the City, its
officials, employees, agents, consultants, and volunteers, for and against any and all claims,
demands, actions, or causes of action, of whatever nature or character, arising from
Contractor’s performance of work or services provided for in this Agreement. Contractor will
take all reasonable precautions for the safety of all of its employees, agents, and subcontractors
on the Site and will provide reasonable protection to prevent damage or loss to the property on
the Site or properties adjacent to the Site and to the work, materials, and equipment under
Contractor’s control.
12. Surety. Contractor will furnish, and at all times maintain, a performance bond and a payment
bond in at least the full amount of the NTE set forth in Section 6 of this Agreement for each
bond with a corporate surety that is satisfactory to the City. Personal sureties will not be
accepted. Contractor must furnish the bonds to the City for review and approval prior to
commencing any work on the Project.
13. Ownership of Work Product. All drawings, specifications, and other documents and
electronic data, including such documents identified in this Agreement, furnished by
Contractor to the City under this Agreement (“Work Product”) are deemed to be instruments
of service. Contractor will retain ownership and property interests to all Work Product,
including but not limited to any Intellectual Property rights, copyrights and/or patents, subject
to the provisions set forth below. The City will be permitted to retain copies, including
reproducible copies of the Work Product. The City will not use, or allow others to use, the
Work Product on other projects, for additions to this Project, or for completion of this Project
by others.
14. Intellectual Property Rights. Intellectual Property or IP means all licenses, trade secrets,
copyrights, patents, trademarks, proprietary information and other rights related to the
Contractor’s work under this Agreement, or otherwise necessary for the design and
maintenance of the Project, including all Project-related documents, models, computer
drawings and other electronic expressions, photographs and other expressions.
15. Use of Design. Upon the City’s payment in full for all work performed under this Agreement,
Contractor will grant the City a limited license to use the Work Product in connection with the
City’s occupancy of the Project, conditioned on the City’s express understanding that its

alteration of the Work Product without the involvement of Contractor is at the City’s sole risk
and without liability or legal exposure to Contractor or anyone working by or through
Contractor. The City will not use, nor cause to be used, any of the aforementioned documents
or other information on another project or for completion of this Project by others without the
express written consent of Contractor.
16. Termination by the City.
A. The City may terminate this Agreement if Contractor violates any material term or
condition of this Agreement or does not fulfill in a timely and proper manner its
obligations under this Agreement. In the event that the City exercises its right of
termination under this Section 16, the City will submit written notice to Contractor and
its surety, if any, specifying the reasons for termination. Termination will be
immediately effective upon the failure of Contractor to cure the default within 10
business days of receipt of the notice of default. Upon termination, Contractor must
take all actions necessary to discontinue further commitments of funds, and the City
will take possession of the Site and of all materials and finish the Project by whatever
method the City may deem expedient.
B. The City may terminate this Agreement upon immediate written notice to Contractor
in the event that any part of the funding for the Project is cancelled or otherwise
becomes unavailable. In such event, Contractor will be entitled to receive
compensation for services provided in accordance with this Agreement up to and
including the effective date of termination.
C. The City may terminate this Agreement without cause upon giving at least 30 business
days of written notice of termination to Contractor. In such event, Contractor will be
entitled to receive compensation for services provided in accordance with this
Agreement up to and including the effective date of termination.
D. The City may terminate this Agreement upon immediate written notice to Contractor
in the event that the Project is abandoned. If such termination occurs, the City will pay
Contractor for services completed and for proven loss sustained upon materials,
equipment, tools, construction equipment, and machinery.
E. The City may immediately terminate this Agreement if any proceeding or other action
is filed by or against the Contractor seeking reorganization, liquidation, dissolution, or
insolvency of Contractor under any law relating to bankruptcy, insolvency, or relief of
debtors. Contractor must notify the City upon the commencement of such proceedings
or other action.
F. Any termination by the City will be without prejudice to the rights of the City to pursue
other remedies against Contractor.
17. Termination by Contractor. If the City fails to make payment of undisputed amounts or
otherwise violates any material term or condition of this Agreement, Contractor may give

written notice that Contractor intends to terminate this Agreement, giving the specific reasons
for such termination. Termination will be immediately effective upon the failure of the City
to cure the default within 10 business days of receipt of the notice of default. A good faith
dispute by the City regarding the amount of payment and failure to pay disputed amounts,
which is subject to the provisions of the Minnesota Prompt Payment Act, Minnesota Statutes
§ 471.425, subd. 4a, does not constitute grounds for termination by Contractor under this
Section 17.
18. Construction Considerations. The following terms will apply only during construction of
the Project:
A. Changes to the Project. Contractor must consult with the City prior to making changes
to the work necessary to complete the Project, including minor changes that might be
consistent with the intent of the project design or that might not have any effect on the
overall costs of the Project.
B. Concealed Conditions. If concealed conditions are encountered at the Site that are (1)
subsurface or otherwise concealed physical conditions that differ materially from those
known during the design of the Project, or are (2) unknown physical conditions of an
unusual nature that differ materially from those ordinarily found to exist and generally
recognized as inherent in construction activities of the character similar to the Project,
then written notice by the party who observed the conditions (the “Observing Party”)
must be given promptly before conditions are disturbed and in no event later than seven
business days after first observance of the conditions. Upon timely notice in writing
by the Observing Party to the other party, the City and Contractor will attempt to value
engineer the Project to stay within the NTE and to address the concealed conditions;
the actions to be taken; and the responsibility for costs of such actions, which must be
mutually agreed to by the City and Contractor. Alternatively, the City and Contractor
may agree to modify the Agreement in writing to increase the NTE or other agreed-
upon amendment. If Contractor is the Observing Party, and fails to give notice to the
City within the seven-day time period, the City reserves the right to demand and receive
services from Contractor to address and correct such concealed conditions without
additional cost to the City.
19. Contractor’s Warranty. Contractor’s warranty is as set forth in Exhibit B. The terms of this
Section 19, and the terms of the Contractor’s warranty, will survive the termination of this
Agreement.
20. Liens. Contractor will not suffer or permit to be enforced against the Site any mechanic’s,
materialmen’s, contractor’s or subcontractor’s liens or any claims for damages arising from
Contractor’s work performed under this Agreement. If any mechanic’s lien is filed against the
Site as a result of work and/or services performed by or on behalf of, and/or as a result of
materials furnished for the use of, Contractor, then Contractor agrees to cause such lien to be
discharged prior to entry of final judgment (after all appeals) for the foreclosure of such lien
and further agrees to indemnify, defend, and hold harmless the City and the Site against
liabilities, losses, damages, costs or expenses (including reasonable attorneys’ fees and costs

of suit) on account of such claim of lien. Upon request of the City, Contractor agrees to
promptly cause such lien to be released and discharged of record, either by paying the
indebtedness that gave rise to such lien, or by posting a bond or other security as will be
required by law to obtain such release and discharge. The foregoing will not be deemed to
prevent Contractor from contesting the validity of any lien in any manner Contractor chooses
so long as such contest is pursued with reasonable diligence. In the event such contest is
determined adversely (allowing for appeal to the highest appellate court), Contractor will
promptly pay in full the required amount, together with any interest, penalties, costs, or other
charges necessary to release such lien.
21. Notices. Any notice required by this Agreement will be in writing (unless otherwise specified
in this Agreement), delivered to the person below at the indicated address, unless otherwise
designated in writing. Only mailing by certified United States Mail, return-receipt requested;
overnight courier (e.g., UPS, FedEx); personal delivery; or other reasonable method may be
used. Notices are deemed delivered when actually received (prima facie evidence of receipt
will be any type of delivery receipt provided by the aforementioned means of delivery). All

22. Miscellaneous.
A. Entire Agreement. This Agreement constitutes the entire agreement between the City
and Contractor regarding the subject matter in this Agreement. No supplements,
modifications, or amendments of this Agreement will be binding unless in writing,
executed by the City and Contractor.
B. Assignment. Neither the City nor Contractor may assign, sublet, or transfer any interest,
or obligation in this Agreement without the prior written consent of the other party, and
then only upon such terms and conditions as both parties may agree to and set forth in
writing.
C. Severability. If any provision or term of this Agreement for any reason is declared
invalid, illegal or unenforceable, such decision will not affect the validity of any
remaining provisions, provided that: (i) each party receives the substantial benefit of
its bargain with respect to the transaction completed hereby; and (ii) the ineffectiveness
of such provision would not result in such a material change as to cause completion of
the obligations contemplated by this Agreement to be unreasonable for either party.

The remaining provisions will remain in full force and effect as if this Agreement had
been executed with the invalid portion of the Agreement eliminated. The parties
declare their respective intention that they would have executed the remaining portions
of this Agreement without including any such part or portion which may be declared
invalid after execution.
D. Relationship of the Parties. Nothing contained in this Agreement will be deemed or
construed to create a partnership, joint venture, joint enterprise, or other fiduciary
relationship between the City and Contractor as related to the Site or the Project.
Neither party is authorized to act as an agent or on behalf of the other party. Contractor
is and will remain an independent contractor throughout the term of this Agreement.
E. Dispute Resolution. For a dispute that arises out of the terms of this Agreement, the
City and Contractor may choose to resolve that dispute through mutually agreed-upon
alternative dispute resolution, but nothing in this Agreement will preclude either party
from exercising that party’s legal or equitable rights.
F. Governing Law and Venue. The City and Contractor agree that the laws of the State of
Minnesota will govern all questions and interpretations concerning the validity and
construction of this Agreement, and the legal relations between the City and Contractor,
and performance under it, without regard to the principles of conflicts of law. The
language of this Agreement is and will be deemed the result of negotiation among the
parties and their respective legal counsel and will not be strictly construed for or against
any party. The City and Contractor agree that any action arising out of or in connection
with this Agreement will be brought solely in the courts of the State of Minnesota, First
Judicial District, or the United States District Court for the District of Minnesota.
G. No Waiver. No waiver by the City or Contractor of any of the provisions of this
Agreement will be deemed a waiver of any other provisions, whether or not similar,
nor will any waiver by the City or Contractor be a continuing waiver. No waiver by
the City or Contractor will be binding unless executed in writing by the City or
Contractor, respectively.
H. Force Majeure. Neither party will be liable for any loss or damage incurred by the
other party as a result of events outside the control of the party including, but not limited
to: war, storms, flooding, fires, strikes, legal acts of public authorities, or acts of
government in time of war or national emergency.
I. Signatures/Execution. Each person executing this Agreement on behalf of a party to
the Agreement represents and warrants that such person is duly and validly authorized
to do so on behalf of such party, with full right and authority to execute this Agreement
and to bind such party with respect to all of its obligations included in this Agreement.
This Agreement may be executed in counterparts, each of which will be deemed an
original, but all of which taken together will constitute but one and the same instrument.
The parties agree that the electronic signature of a party to this Agreement will be as

valid as an original signature of such party and will be effective to bind such party to
this Agreement.
J. Headings. The section headings of this Agreement are for reference purposes only and
will not otherwise affect the meaning, construction, or interpretation of any provision
of this Agreement.
K. Incorporation of Recitals and Exhibits. The Recitals made at the beginning of this
Agreement, and the Exhibits that are attached to this Agreement, are each true and
correct and, by this reference, are incorporated into and made a part of this Agreement.

Contractor’s Warranty
Contractor provides the following standard, limited warranties. Contractor makes no other representation
or warranty, whether implied or express, of merchantability, fitness for a particular purpose, or any other
type or kind.
Contractor hereby offers a 12-Month Materials and Workmanship Warranty for the above-referenced
project, effective upon the date of substantial completion of the project or first use by the City.
Any material or work that is vandalized, destroyed or suffers damage from abuse (including use of salt
within the first year), neglect, or Acts of God, is exempt from any claims of warranty under this guarantee.
Normal wear and tear, normal cracking (cracks less than 1/4 of an inch wide), and other issues related to
the nature of cast-in-place concrete are excluded from this warranty. Issues related to the nature of cast-
in-place concrete include but are not limited to fading, weathering, flaking, shrinkage, and scratching.
Issues related to or caused by site conditions or preparation are excluded.
Contractor shall determine the validity of any warranty claim subject to its absolute and sole discretion.
The City shall provide written notice of any claim under this guarantee, including photographs and
provision of all relevant information as soon as practicable, but in no event more than seven business days
of the City’s actual knowledge of any condition for which a claim may be made. Notice must be provided
to Contractor within the warranty period. The City’s continued use of any concrete after submission of a
warranty claim shall void the claim.
Any modifications, alterations, substitutions, repairs, or attempted repairs by persons other than
Contractor void this warranty. The City’s failure to allow sufficient cure time before first use voids this
warranty.
Contractor shall commence warranty repairs within a reasonable time after Contractor determines that a
warranty claim is valid. Contractor reserves the right to visually inspect any claimed issue. The City agrees
to cooperate fully with Contractor in its investigation in all material ways.
The warranty stated above is valid only if the improvements have been maintained and inspected in
accordance with Contractor instructions, and have been subjected to normal use for the purpose for which
the improvements were designed.
All disputes related to warranty claims are subject to the dispute resolution provisions set forth in the
Agreement for Design and Construction between Contractor and the City.

Aaron is the embodiment of the entrepreneurial spirit. When he used a carpentry background to start Spohn Ranch in the early
‘90’s, he had no back-up plan – he put everything he had behind his passion for wheel sports. That passion culminated in a backyard
half-pipe that not only gave birth to a community, but eventually an award-winning skatepark design-build firm.
After Aaron helped launch skateparks into the mainstream when he partnered with ESPN to develop the X-Games, Spohn Ranch’s
backyard roots spread globally in the form of hundreds of cutting-edge creations.
From permanent skateable landscapes to innovative installations for high-profile events, Aaron and Spohn Ranch have played an
invaluable role in the exponential development of wheel sports. Hailed by insiders as a pioneer of the modern municipal skatepark,
Aaron has also spent considerable effort promoting the industry as a whole and sharing his extensive knowledge – leading the ASTM
committee that created safety standards for public skateparks and lecturing at parks and recreation conferences across the country.

Born and raised in Massachusetts, Charlie became a professional skateboarder in 1996 and helped pioneer the Boston skateboarding scene. After
making the transition to the West Coast in 2011, Charlie connected with Spohn Ranch through our event work for the Mountain Dew Tour. He had
honed his AutoCAD skills as Alli Sports & NBC’s lead designer and builder since the Dew Tour’s inception in 2005 – a role in which he designed and
built dozens of world-class event courses for our industry’s premiere athletes. Charlie’s CAD expertise and ability to work with tight spaces and
timelines made him a perfect fit for Spohn Ranch and he’s since enjoyed a seamless transition into our design department.

Born and raised in New Jersey, surfing was Jason’s first love. Given the inconsistencies of Jersey waves however, Jason immersed himself in the full
spectrum of East Coast action sports - whether in the ocean, the streets or the mountains. With a passion for the outdoors, Jason naturally
transitioned into a career in the recreation industry in 2005. In 2008, he pulled the trigger on a long overdue relocation to a climate that better

Kirsten is Los Angeles born and raised. While attending Venice High in the early ‘90s she and her brother Mark befriended their new
neighbor Aaron Spohn, joining him in his relentless pursuit of skating and building ramps at his house. It wasn’t long before that
house transformed into a community dubbed “Spohn Ranch”. And with innate ambition and drive, it wasn’t long before Kirsten
transformed from one of Aaron’s first employees into the CEO that would help Spohn Ranch evolve from a small family business into
an award-winning, nationwide design-build firm. A counterweight to Aaron’s free-spirit, Kirsten steered the ship through good times
and bad, always keeping the company on course for success. Kirsten is truly the glue that holds the company together.
Intimately involved in the wheel sports industry for 20+ years, the breadth of Kirsten’s experience is vast. In addition to earning a
bachelor’s degree in environmental science from UCLA, she has developed expertise in every facet of skatepark design, construction
and operations – with a focus on executing all financial, legal and administrative matters. This ensures our designers and builders are

At the start of construction, Spohn Ranch’s

Once construction permits are issued, certified welders and iron workers will begin fabricating the steel coping, grind rails
and edge protection at Spohn Ranch’s 25,000 square foot facility in City of Industry, California. The steel is then hot-dip
galvanized or powder coated.
Spohn Ranch is the only skatepark builder that uses state-of-the-art CNC (Computer Numerical Control) technology to cut
all screeds and forming lumber, ensuring the exact radii, angles and dimensions specified in the construction documents.

With utilities and earthwork substantially complete, Spohn Ranch will prepare the skateable terrain for concrete by executing the
installation of forms, reinforcing steel and steel coping, grind rails and edge protection. Spohn Ranch will coordinate inspections
for forming and rebar as necessary.

Spohn Ranch’s ACI-certified shotcrete nozzlemen will lead our team in shooting and placing concrete to bring the various
sections of terrain to life. Our specialty concrete mix design will be refined as we develop a better understanding of the site’s soil
conditions and collaborate with a local ready mixed concrete plant. Spohn Ranch will coordinate concrete testing as necessary.

After a methodical concrete curing process, Spohn Ranch
will execute the final detail work including landscaping,
caulking and power-washing.
Upon substantial completion, Spohn Ranch will conduct
a walkthrough with the Client to identify final punch list
items. When the final punch list items are addressed, we
will clean up the site and de-mobilize. Lastly, we will lead
an educational training session with the Client to review
maintenance/inspection guidelines.

ADAPTIVE WHEELED SPORTS | WCMX
THE ACTION PARK ALLIANCE established the World WCMX
Championship in 2014 as an evolution of its programming & event
production capabilities. Through community engagement at these events,
we created a platform for our WCMX & Adaptive skateboarding athletes
to be seen + heard. Since then, we have continued to offer inclusive
programming to the communities in which we operate through
workshops, contests & demonstrations. The ongoing production of these
programs has allowed us to fine tune our approach to adapting the
skateparks to a point where all who utilize the facility can use it equally.
Most skatepark designers today are not building with inclusivity in mind,
which is why we are proud to work with Spohn Ranch skateparks to
ensure that from start to finish; the under-represented have their voices
heard in the final design.

Victor began skating at the age of 9 years old when his local
skatepark opened. Fast forward a few years, the APA
negotiated a deal to take over the operations of the facility. It
wasn’t long before he began working at the ground level,
ultimately finding his way to working alongside.
With his experience in the operations of the organization from
the ground up, Victor has been able to take the APA to the next
level with the creation of new programs & initiatives ranging
from wheelchair action sports, to youth focused program
partnerships with the Girl Scouts of America, Industry brands &
more.
With more than 10 years of contest production focused on
Adaptive action sports, Victor has created a pathway in which
standards have been set & elevated in the skatepark. As the
sports have evolved, so have the ways in which the skatepark
could be used.

Skateparks should be designed with everyone in mind. They are community defining hubs
where all can recreate as one regardless of age, skill or physical abilities.
